Force 5 Software TRIAL USER SOFTWARE LICENSE AGREEMENT FOR JCloak (tm) IMPORTANT: READ THIS SOFTWARE LICENSE CAREFULLY BEFORE SELECTING THE "ACCEPT" BUTTON AT THE BOTTOM OF THIS PAGE. BY SELECTING THE "ACCEPT" BUTTON YOU AGREE TO THE TERMS AND CONDITIONS OF THE AGREEMENT. IF YOU ARE NOT WILLING TO BE BOUND BY ITS TERMS, SELECT THE "DO NOT ACCEPT" BUTTON AT THE BOTTOM OF THIS PAGE AND THE INSTALLATION PROCESS WILL NOT CONTINUE. This is an agreement ("Agreement") between Customer and Force 5 Software. 1. LICENSE GRANT. Force 5 Software, ("Force 5 Software") grants to Customer ("Customer") a nonexclusive and non- transferable license ("License") to use one copy of the software JCloak (tm) evaluation version ("Software"), in bytecode form, solely in conjunction with a single computer system owned or leased by Customer. Customer may use the Software during a trial period only. The trial period begins the date the software is first executed and ends 30 days from that. At the conclusion of this trial period the Customer must either purchase a full license from Force 5 Software or destroy all copies of the Software. The trial software is fully functional, except as restricted in paragraph 3. EXCEPT AS EXPRESSLY AUTHORIZED ABOVE, CUSTOMER SHALL NOT: COPY IN WHOLE OR IN PART, SOFTWARE OR DOCUMENTATION; MODIFY OR CREATE DERIVATIVE WORKS OF THE SOFTWARE; REVERSE ENGINEER, DECOMPILE OR REVERSE ASSEMBLE ALL OR ANY PORTION OF THE SOFTWARE; OR SUBLICENSE, RENT, LEASE, DISTRIBUTE, OR SELL THE SOFTWARE. 2. OWNERSHIP. The enclosed Software and documentation and all copies thereof are owned by Force 5 Software and/or others from whom Force 5 Software has obtained a respective licensing right, and are protected by copyright, trademark and trade secret laws and international treaty provisions. THIS SOFTWARE IS LICENSED AND NOT SOLD. 3. RESTRICTIONS. The Software is for evaluation purposes only. Specifically the Customer is restricted in selling any bytecode that has been processed by the JCloak evaluation version Software. The Software will place a watermark in all bytecode processed by the software indicating the bytecode was processed with the JCloak evaluation version. This watermark does not affect the bytecode processed by JCloak. 4. TERM. This Software License Agreement is effective until terminated. Customer may terminate this Agreement at any time by notifying Force 5 Software. Force 5 Software, or any third party from whom Force 5 Software may have obtained a respective licensing right, may immediately terminate this Agreement if Customer fails to comply with any term or condition. Upon any termination of this Agreement, Customer shall immediately discontinue all use of the Software and either return to Force 5 Software or destroy all copies of the Software and printed materials. 5. LIMITED WARRANTY. Force 5 Software warrants that the Software will substantially conform to the published specifications for such Software, if used properly in accordance with the documentation, for a period of ninety (90) days from the date of shipment to Customer. To be eligible for a remedy, Customer must report all warranted problems within the warranty period to Force 5 Software, and make suitable arrangements for such service in accordance with any instructions received from Force 5 Software. Force 5 Software's sole and exclusive obligation and Customer's sole and exclusive remedy with respect to nonconforming Software reported during the warranty period will be either to (i) provide a correction or a workaround for any reproducible errors, or (ii) refund to Customer the portion of the license fee or purchase price applicable to the Software if the remedy in (i) above is not reasonably available. Customer agrees to cooperate with Force 5 Software in creating the environment in which the error occurred. Further, Customer agrees to supply any necessary equipment for such tests. This Limited Warranty does not apply to software which (i) has been altered, except as authorized by Force 5 Software, (ii) has not been installed, operated, repaired, or maintained in accordance with any installation, handling, maintenance, or operating instructions supplied by Force 5 Software, (iii) has been subjected to unusual physical or electrical stress, misuse, negligence, or accident, (iv) has been used in such a way that Force 5 Software cannot reasonably reproduce the Software error, (v) has been exported from the original country of destination without written consent of Force 5 Software or (vi) has been misapplied. In no event does Force 5 Software warrant that the Software is error free or that Customer will be able to operate the Software without problems or interruptions. THIS WARRANTY IS IN LIEU OF AND Force 5 Software DISCLAIMS ALL OTHER WARRANTIES AND CONDITIONS, EXPRESSED OR IMPLIED, INCLUDING THOSE OF MERCHANTABILITY, NON- INFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE WITH RESPECT TO SOFTWARE AND ANY ACCOMPANYING PRINTED MATERIALS. EXCEPT FOR THE FOREGOING, THE SOFTWARE IS PROVIDED "AS IS." 6. LIMITATION OF LIABILITY. IN NO EVENT SHALL Force 5 Software, OTHERS FROM WHOM Force 5 Software HAS OBTAINED LICENSING RIGHTS, OR Force 5 Software's SUPPLIERS, BE LIABLE WITH RESPECT TO THE SOFTWARE, ANY SUBJECT MATTER OF THIS SOFTWARE LICENSE AGREEMENT OR ANY RELATED PRODUCT ORDER UNDER ANY CONTRACT, NEGLIGENCE, STRICT LIABILITY OR OTHER THEORY (A) FOR ANY INDIRECT, SPECIAL, CONSEQUENTIAL, OR INCIDENTAL DAMAGES INCLUDING, WITHOUT LIMITATION, LOST PROFITS OR LOSS OR DAMAGE TO DATA, (B) FOR COST OF PROCUREMENT OF SUBSTITUTE GOODS, SERVICES OR TECHNOLOGY, OR (C) FOR ANY MATTER BEYOND ITS REASONABLE CONTROL, EVEN IF Force 5 Software HAS BEEN ADVISED OF THE POSSIBILITY OF ANY OF THE FOREGOING DAMAGES. IN NO EVENT WILL Force 5 Software's LIABILITY EXCEED THE AMOUNT PAID BY CUSTOMER FOR JCloak(tm). 7. THIRD-PARTY DISCLAIMER. Except as expressly agreed otherwise, third parties from whom Force 5 Software may have obtained a licensing right do not warrant the Software, do not assume any liability with respect to its use, and do not undertake to furnish any support or information relating thereto. 8. EXPORT. Customer will comply with all applicable export laws and regulations if it exports any of Force 5 Software's products or documentation. This restriction shall survive termination of this Agreement. 9. GOVERNMENT ACQUISITION. If Customer is a unit or agency of the government, or acquiring the Software with government funds, the Software and documentation are provided subject to Force 5 Software's standard commercial license; provided, however, that any contracts with non- defense agencies subject to the FAR, the Government shall have the rights set forth in subparagraph (c) of FAR 52.227- 19, "Commercial Computer Software- Restricted Rights," as applicable. 10. GENERAL. This Software License Agreement is the complete and exclusive statement of the mutual understanding of the parties and supersedes any other agreement relating to the Software. This Agreement shall be construed pursuant to the laws of the State of California and the United States without regard to the conflict of laws provisions thereof and without regard to the United Nations Convention on Contracts for the International Sale of Goods. To the extent that EC law is applicable, the restriction on reverse engineering is limited to prohibit such activity to the maximum extent without violating the EC Directive on the legal protection on computer programs. No waiver of any breach of any provision of this Agreement shall constitute a waiver of any prior, concurrent or subsequent breach of the same or any other provisions hereof, and no waiver shall be effective unless made in writing and signed by an authorized representative of Force 5 Software. If any portion hereof is found to be void or unenforceable, the remaining provisions of this Agreement shall remain in full force and effect
